Terms and conditions of sale

Article 1 · Scope

These general terms and conditions of sale (the “Terms”) apply to every order placed on rhealiz.com by a consumer (the “Customer”) with Rhealiz, a French single-shareholder simplified joint-stock company (SASU) with share capital of €1,000, registered with the Paris Trade and Companies Register (R.C.S.) under number 106 695 182, registered office 6 bis rue Galvani, 75017 Paris, France (“Rhealiz”), email hello@rhealiz.com.

Every order requires acceptance of these Terms, given by ticking the box before the “Confirm and pay” button. The applicable Terms are those in force on the day of the order; they are sent to the Customer on a durable medium with the order confirmation. These Terms are a translation of the French original; both versions are available at www.rhealiz.com/cgv.

Article 2 · Products and services

Three offers are available, for the same formula. Essentielle: the formula for three months, its sheet and its sources, the personal account with the starting point, the quarterly review, and delivery. Signature: Essentielle, plus food and physical activity recommendations aligned with public health guidelines and with the profile and goals declared by the Customer, and an annual assessment. Cercle: Signature, plus two Trajectory Reviews a year (thirty minutes, by video call, with a Rhealiz expert, at launch the founder), one of which, at the end of the year, covers the annual assessment, and the Direct Line (written questions, answered within three working days). The recommendations, assessments, reviews and answers concern the programme and lifestyle habits; they are not a medical consultation, a diagnosis or medical advice, and they do not replace the Customer’s follow-up by their doctor.

Rhealiz sells food supplements based on lactic ferments, in capsule form. At the date of these Terms, the formula offered is “Culture”, packed in a jar of 90 capsules for three months. The products are made in France and have been notified as required by Decree No 2006-352 on food supplements.

Food supplements are not medicines and do not replace a varied and balanced diet or a healthy lifestyle. They do not replace any treatment or medical follow-up. In case of pregnancy, breastfeeding, ongoing treatment or a particular medical condition, the Customer consults a healthcare professional before use. Do not exceed the recommended daily dose. Keep out of reach of young children.

The label information (ingredients, any allergens, directions for use, storage) is shown to the Customer before ordering, on the “Your order” screen.

Article 3 · Prices

Prices are shown in euros, including all taxes, invoiced per quarter, with delivery included in metropolitan France. Public price of the three offers: Essentielle: €147.00 including VAT per quarter, at the 5.5% VAT rate; Signature: €207.00 including VAT per quarter (€147.00 at 5.5% for the food supplement and €60.00 at 20% for the support: food and physical activity recommendations, annual assessment); Cercle: €357.00 including VAT per quarter (€147.00 at 5.5% and €210.00 at 20%).

Founding number: the first 150 subscriptions, numbered in order of payment, receive a founding price: the content of the Signature offer at the price of the Essentielle offer, that is €147.00 including VAT per quarter (€104.40 at 5.5% and €42.60 at 20%), or, at the Customer’s choice, the content of the Cercle offer for €267.00 including VAT per quarter (€104.40 at 5.5% and €162.60 at 20%), compared with €357.00 including VAT at the public price. This price is linked to the order of subscription; it is not a reduction on a price previously charged. It is kept for as long as the subscription remains active without interruption. The Essentielle offer remains available during this period, at the public price, without a founding number. Once these 150 places are taken, the three offers are available at the public price.

Upgrades: a Customer on Essentielle can move to Signature or Cercle from their account. While founding numbers remain, they receive a number and the founding price, that is €147.00 including VAT per quarter for Signature or €267.00 including VAT for Cercle, on the founding price terms above; after the 150 places, the support is charged at the public price (€60.00 or €210.00 including VAT per quarter, on top of the food supplement). A Customer on Signature can move to Cercle from their account, at the price (founding or public) of their subscription. Access is immediate, and the difference for the rest of the current quarter, calculated pro rata, is added to the next invoice.

The applicable price is the one displayed at the time of the order. Rhealiz may change its prices for future orders; any price change for a subscription in progress is notified to the Customer at least thirty days before the payment concerned, and the Customer may cancel before that date.

Article 4 · Ordering and payment

Orders are placed online: answering the questionnaire, giving an email address, reading the summary (product, price including VAT, frequency, dispatch time, cancellation and withdrawal terms), accepting these Terms, then clicking “Confirm and pay” and paying securely via Stripe. Rhealiz stores no bank details.

The first payment is taken when the order is placed. The subscription renews automatically for periods of three months; the next payment is taken three months after the previous one, for the same amount, unless the subscription is cancelled. Rhealiz emails the Customer at least seven days before each payment, stating the amount, the date and how to cancel.

If a payment fails, Rhealiz informs the Customer by email and tries again; if the payment is not settled, the subscription is suspended and then terminated, at no cost to the Customer.

Article 5 · Delivery

Rhealiz undertakes to dispatch the first box within two working days of payment, then each following box within two working days of the quarterly renewal payment. Delivery is by Colissimo, in metropolitan France only, and is included in the price. The Customer receives the tracking number by email.

If delivery has not taken place within thirty days of the order, the Customer may terminate the contract under Articles L216-2 and following of the French Consumer Code (Code de la consommation): by registered letter with acknowledgement of receipt, or in writing on another durable medium, the Customer requires Rhealiz to deliver within a reasonable additional period and, if delivery does not take place within that period, may terminate the contract by the same means. Rhealiz then refunds all sums paid no later than fourteen days after the date on which the contract was terminated (Article L216-3).

If a parcel is lost or damaged, the Customer writes to hello@rhealiz.com; Rhealiz sends a replacement or gives a refund.

Article 6 · Right of withdrawal

In accordance with Articles L221-18 and following of the French Consumer Code, the Customer has fourteen days from receipt of the first delivery to withdraw, without giving any reason and without penalty. For a contract for the regular delivery of goods, the period runs from receipt of the first box.

Exception: in accordance with Article L221-28 5°, the right of withdrawal cannot be exercised for capsules unsealed after delivery, which cannot be returned for reasons of hygiene and health protection. A jar with an intact seal may be returned.

The Customer exercises this right by an unambiguous statement sent to hello@rhealiz.com or by post to the registered office, using the form in Appendix 1 if they wish. The Customer returns the product no later than fourteen days after their statement, to the following address: Rhealiz, 6 bis rue Galvani, 75017 Paris, France; the cost of return is borne by the Customer (Article L221-23).

Rhealiz refunds all sums paid, including delivery, using the same means of payment, no later than fourteen days after being informed of the decision to withdraw. Rhealiz may withhold the refund until it has received the product back or until the Customer has supplied proof of having sent it, whichever is earlier (Article L221-24).

Article 7 · Guarantees and liability

The products comply with the French and European regulations applicable to food supplements and undergo quality control batch by batch.

Legal guarantee of conformity (Articles L217-3 and following of the French Consumer Code). The Customer has two years from delivery of the goods to obtain the application of the legal guarantee of conformity if a lack of conformity appears. During this period, the Customer only needs to establish the existence of the lack of conformity, not the date on which it appeared.

The legal guarantee of conformity entitles the Customer to have the goods repaired or replaced within thirty days of their request, free of charge and without major inconvenience to them; for capsules, bringing the goods into conformity takes the form of a replacement. The Customer may obtain a price reduction while keeping the goods, or terminate the contract and obtain a full refund against return of the goods, if Rhealiz refuses to bring them into conformity, if this takes place after thirty days or causes the Customer major inconvenience, or if the defect persists despite the attempt to bring them into conformity. The Customer is also entitled to a price reduction or to termination of the contract, without first requesting conformity, where the defect is so serious that it justifies an immediate price reduction or termination. Termination is not possible if the lack of conformity is minor.

These rights arise from Articles L217-1 to L217-32 of the French Consumer Code. A seller who in bad faith obstructs the application of the legal guarantee of conformity is liable to a civil fine of up to 300,000 euros, which may be increased to 10% of average annual turnover (Article L241-5 of the French Consumer Code).

Guarantee against hidden defects. The Customer also benefits from the legal guarantee against hidden defects, under Articles 1641 to 1649 of the French Civil Code (Code civil), for two years from discovery of the defect. This guarantee entitles the Customer to a price reduction if the goods are kept, or to a full refund against return of the goods.

To use these guarantees, the Customer writes to hello@rhealiz.com or to Rhealiz, 6 bis rue Galvani, 75017 Paris, France.

Rhealiz promises no health outcome and is not responsible for individual results, which vary from one person to another.

Article 8 · Term and cancellation

The subscription is entered into for a period of three months, renewed automatically. It involves no commitment beyond the quarter paid.

The Customer may cancel at any time, online from their account (“Cancel my subscription” button, two screens), or by email to hello@rhealiz.com. Cancellation takes effect at the end of the quarter paid; no further payment is taken after that. Rhealiz confirms the cancellation by email. In accordance with Article L215-1-1, online cancellation is available at all times from the Customer’s account.

A cancelled founding number is not reassigned, and the founding price is not restored if the Customer subscribes again.

Rhealiz may terminate a subscription in the event of unsettled non-payment or of use contrary to these Terms, after a notice that has remained without effect for fifteen days.

Article 9 · Personal data

The Customer’s data is processed in accordance with Regulation (EU) 2016/679 and the privacy policy available on rhealiz.com. Answers to the questionnaire relating to digestion are processed on the basis of the Customer’s explicit consent, solely to establish their starting point and its review, and are never shared. The Customer exercises their rights of access, rectification, erasure, portability and objection by writing to hello@rhealiz.com.

Article 10 · Intellectual property

The Rhealiz trade mark, the site, the questionnaire, the sheets and files, the visuals and texts are the property of Rhealiz SASU. Any unauthorised reproduction or use is prohibited.

Article 11 · Disputes and mediation

These Terms are governed by French law. In the event of a complaint, the Customer first writes to hello@rhealiz.com; Rhealiz replies within fifteen days.

If no amicable solution is found within two months of their written complaint, the Customer may refer the matter free of charge to the consumer mediator to which Rhealiz belongs (Articles L612-1 and following of the French Consumer Code): CM2C (Centre de la médiation de la consommation de conciliateurs de justice), 49 rue de Ponthieu, 75008 Paris, www.cm2c.net, online referral at https://www.cm2c.net/declarer-un-litige.php.

Failing that, the French courts have jurisdiction.
